The group announced pricing for nine separate debt purchase offers subject to a $4 billion cap.
UBS Group AG announced the pricing terms and reference yields for nine concurrent and separate cash tender offers to purchase series of outstanding debt securities. The calculations were fixed as of 10:00 a.m. Eastern time on September 10, 2026, following the initial offer to purchase launched on September 2, 2026.
The transactions include senior notes denominated in U.S. dollars, British pounds, and euros, with maturities ranging from 2028 to 2033. UBS structured the total consideration per 1,000 currency units of principal based on a fixed spread plus the yield of designated reference securities. Holders of accepted notes will also receive accrued and unpaid interest in cash up to the settlement date.
The offers carry an aggregate total consideration cap of $4,000,000,000, excluding accrued coupon payments, for notes subject to the maximum purchase condition. Acceptance is determined by priority levels from 1 to 6 without proration for any accepted series. The offers are not conditioned on a minimum tender amount or external financing.
Both the tender window and withdrawal rights were scheduled to expire at 5:00 p.m. Eastern time on September 10, 2026. Settlement is expected on September 14, 2026, the second business day following the expiration date.
